Professional Services Agreement - Construction

The input of professionals with technical knowledge is a must during every phrase of a construction project, expecially with regard to complying with the different construction industry standards.

The professional services agreement for construction is the legal tool by which a service provider (e.g. engineer, architect, land surveyor, etc.) offers their services to help realize a construction project. This agreement defines the tasks that the provider must fulfill for consideration paid by the project owner. It is not an employment agreement because the provider is an independant contractor.

This agreement differs from the construction agreement (template F03500) because it is specifically for the context of offering ancillary professional services.

Professional Services Agreement - Construction

This template can be used when a project owner wishes to retain the professional services of the provider, without creating an employment relationship. It is important to note, however, that the Courts could find that an employment relationship exists, if the provider is subordinate to the project owner. More precisely, if the provider only works for the project owner, if the project owner controls the way the provider must work and provides the necessary tools, we recommend using an employment agreement (see templates C2300 or C02305) to define the terms of the business relationship between the parties.
