SERVICES - GENERAL TERMS AND CONDITIONS
Unless an agreement to the contrary has been reached, any work entrusted to Edilex is subject to the following terms and conditions.
All services rendered by Edilex are billed hourly according to the billing grid in force on the day the services are rendered. The billing grid varies according to the level of expertise of the service provider, the type of work and the time required for performance.
Note: to allow the client to oversee the performance costs during the entire process, we start the process by sending an estimate of the time and money required for the performance of the proposed work. This estimate is sent solely for indicative purposes. The estimate must be approved by the client before work starts. If, during the course of the performance of the work, Edilex's service provider anticipates a cost or time overrun, our policy is to advise the client of such eventual overrun, offer reasons for such overrun, and obtain approval of a new cost and time estimate, as the case may be, prior to proceeding.
All costs incurred in the performance of work are billed to the client according to the following grid:

Edilex reserves the right to require payment of an advance from clients without established credit, as well as, as the case may be, for payment of governmental fees or other similar costs.
The services rendered are invoiced upon the completion of the work. If the performance is longer than a month, an interim invoice is issued for all work performed during the previous month. Invoices are sent by email, fax, or mail.
Our invoices must be paid within THIRTY (30) days of receipt.
The payment of our fees and costs shall in no case be subject to payment of the principal legal professional by his client.
Interests of 1.5% per month (18% per year) are added to any unpaid account.
- Acts reserved to advocates
If the performance of the service includes an act reserved to advocates, the work shall be performed under the supervision of Me Gilles Thibault, in which case all services shall be invoiced by him.
Edilex reserves the right to refuse any mandate.
Note: to avoid any problem pursuant to this issue, we recommend that legal professionals wishing to retain our services confirm the recevability of their mandate prior to agreeing to any undertaking with their clients.
- Instructions (legal professionals only)
The legal professional acting as principal shall take all necessary measures to communicate to Edilex, in writing, all instructions concerning the performance of the work delegated to us.
Note: to protect the privileged relationship which must be maintained between a legal professional and his client, and to remain committed to its mission only to work for legal professionals, Edilex will refuse any direct communication with the clients of the legal professional.
- Liability (legal professionals only)
Edilex's liability is limited to the performance of the mandate in compliance with the instructions sent by the legal professional. The legal professional acting as principal is responsible to ensure the compliance of the work performed with the instructions and applicable laws at the time of delivery of such work. If the legal professional acting as principal fails to denounce any error in performance within FIVE (5) days following delivery of the work, the work shall be reputed to be in compliance with his instructions. This provision also applies should the legal professional use the work to fulfil his client's neeeds without first notifying Edilex of such.
Edilex waives any liability arising from misinterpretation of, by the legal professional acting as principal, or failure to communicate the instructions sent by his own client.
