Description

The transactional agreement template is a tool serving as the starting point for the drafting of any type of transactional agreements, i.e. of any agreement other than partnership agreements. It can be used to draft a huge variety of agreements: employment agreements, financing agreements, sales agreements, leases, service agreements, license agreements, franchise agreements and distribution agreements, to name a few.

This tool proposes an universal organization system for the provisions of a transactional agreement, whose main objective is to end the confusion that prevails, due to the lack of generally accepted presentation standards, in the field of business agreements. This organization system is based on a set of information modules (known as parts in the contract), to which a fixed address, i.e. a specific number is assigned in all such agreements, to facilitate identifying the provisions (named, according to their hierarchical position, either section, subsection, paragraph or subparagraph) that make up such a module.

In addition, this template offers, to help completing the universal container described in the preceding paragraph, a variety of universal provisions that can be used to specify the contents of each of the parts (information module) and the formulation of such provisions. Some provisions are available in multiple versions. If applicable, an alphanumeric indication (V1, V2) appears at the beginning of each proposed version.

Finally, it contains, in addition to this list of provisions, all the basic legal information regarding such in a series of annotations. These are used either to explain how the organization system works in the template or justify the technical or legal rationale for the use of a provision found in the latter. If applicable, these annotations can also be used to clarify the links between the basic legal information listed in the data sheet and the specific provisions contained therein. Where such annotation exists in a provision, the number of the relevant provisions appears after the citation of the law, case law or doctrine brackets [].

Use

We recommend using the transactional agreement template to draft any business transaction (other than partnerships) when no applicable law requires that the agreement meets mandatory requirements or take a specific form.

The content of this methodological instrument applies to all contracts for business-type transactions regardless of the jurisdiction of law on which the contract is taxable. Indeed, the storage system proposed in this paper transcends the many courts of law which may govern such a contract.

With regard to its legal content, it should be noted that the instrument has been designed according to the law of the province of Quebec, Canada. Any proposed use of this document for a jurisdiction other than the province of Quebec requires validation by a lawyer practicing in said jurisdiction.
