Introduction

When a business purchases a “turnkey” computer system, it usually also enters into an ancillary agreement for the technical support and maintenance of the system, so as to keep the latter in good condition and up to date, and thus be able to take full advantage of such an acquisition. Such an arrangement is both an insurance policy for the business as regards the proper operation of the system and a source of recurring revenue for the supplier of such a system.

This document provides the contractual framework of such a legal and commercial transaction.

Description

The Support-maintenance Agreement is the instrument by which a person, the SUPPLIER, provides services to maintain the hardware and software of the other party, called the CLIENT. Generally, this is an ancillary agreement to an Equipment Sale Agreement (see document I01.200 of the Business Precedents.) The contract sets out the IT support and maintenance tasks which SUPPLIER must perform in exchange for the consideration paid by the CLIENT. This is not an employment agreement: the supplier is an independent contractor of the client. This contract is considered a service agreement under the Civil Code of Quebec and is subject to the applicable rules thereof.

Use

We recommend the use of this document when the client wishes to use the services of the supplier to provide support and maintenance for the hardware and software acquired from the supplier by a principal contract to which this contract is ancillary. If the hardware or software on which the agreement is based was not acquired from the supplier, it will be necessary to make changes to the agreement.
