Introduction

Unless a letter of intent to such purpose has been sent, the Offer to Lease is the first document or written exchange between the parties regarding the rental of premises. Consequently, this is the document which launches the contractual relationship and establishes the essential terms of the lease to be entered into by the parties.

The parties may also decide that the Offer to Lease becomes, upon acceptance, the actual lease. In such case, it is preferable to prepare a very thorough offer, and to ensure that it contains all components of a lease, to ensure that the relationship between the parties is governed by a complete document. For this purpose, it is best to refer to documents E02.200 and E03.200 of the Business Precedents.

Note that it is also possible to attach to the Offer to Lease a pro-forma copy of the lease usually used by the lessor, which states that the lease to be entered into will be substantially identical to such pro-forma lease.

Description

The Offer to Lease is the legal instrument by which a person, called the offeror, enters into an unilateral promise to a second person, called the LESSOR, to rent office space owned by the latter for a certain period of time and in consideration of a sum of money (rent).

Use

We recommend the use of this document when a person wishes to lay a solid foundation for negotiations regarding a commercial lease with a lessor. Furthermore, the Offer to Lease may become, depending on the intent of the parties, the lease itself.
