Introduction

The development of a good product is not sufficient to ensure the commercial success of a business. It is only the first step. The second step, which is as important as the first, is the marketing of the product.

To build a sales force, the manufacturer can create its own team of sales representatives, which creates fixed costs without any guarantee of income, or it can retain the services of independent agents, creating a variable cost that is only incurred when a sale is made through their services.

In general, businesses use internal sales forces made up of employees of the business on local markets. The strategy changes on foreign markets, as the manufacturer doesn’t know them as well. The trend, in such situations, is to use the services of local actors to act as agent of the manufacturer, hence the traditional name of "manufacturing agent."

The following document provides the legal framework governing the relationship between the manufacturer of a product and the manufacturing agent to market said product in a specific territory.

Description

The Manufacturing Agent Agreement is the legal instrument by which a firm, known as the MANUFACTURER, entrusts to another person, referred to as the AGENT, the representation of its products within a territory, on an exclusive or non-exclusive basis, and pays the AGENT, by way of commission, for each sale made within such territory.

Use

We recommend the use of this agreement when a MANUFACTURER does not wish to have a team of in-house representatives (see document C02.310 of the Business Precedents) to market its products, but nevertheless wishes to maintain control on its sales. It differs from the distribution agreement (document K02.200 of the Business Precedents) as in this case, the agent remains under the control of the manufacturer since it cannot complete a sale without the assistance of the manufacturer. In the case of a distribution agreement, the distributor is in control of the products it distributes, because it buys them from the manufacturer and resells them directly to its customers.
